What is a Contract?
A Contract is a legally binding agreement or promise between two or more persons, verbal or written that can be enforced by the law.

What is Contract Law?
The Law of contracts is the body of law that governs the verbal and written agreements between two or more persons (individuals, companies or other institutions). This area of law can be applied by the courts to determine if there has been a breach of contract or whether promises made within a contract are enforceable. If a contractual promise has not been fulfilled and is enforceable, a specialist contract law solicitor will be able to advise on the suitable course of action and if appropriate make a compensation claim for loss or damages. Before the courts will intervene to enforce any agreement, certainty of the contract is needed and there are some basic foundations that all contracts must contain.
The essential elements to make a contract enforceable are:
- Offer
- Acceptance
- Agreement - arising from an offer and an acceptance
- Consideration - a promise or an act or a promise not to act,
     and represents the value in the contract. An exchange of some benefit or
     something of value by the parties.
- Capacity – i.e have the legal capacity to enter into a contract, for example
     an adult and of mental capacity.
- Intention to enter into legal relations - the parties intended to enter into
     a legally binding agreement. (it is the intent to enter into legal relations that
     converts a social agreement in to a legal agreement)
This area of law is varied and complex and effects both businesses and the consumer alike. There have been many changes over the years to “legislation” or “statutory law” including the introduction of the Sale of Goods Act and the Credit Agreement Act.

Breach of Contract
If terms of a contract are broken, then there is a breach of contract. This can be if one party does not comply with its terms or if they change their mind and do not perform their side of the contract.
You can remedy a breach of contract in various ways but the most common would be:
- To make a compensation claim for damages (a sum of money) for loss or
     damage caused by Breach of Contract.
- To seek a court order, for the contract to be performed, and obligations
     to be carried out.
- To seek a court order, declaring the contract null and void, obliging the party
     who has breached the contract to put the ‘innocent party’ back in the position
     he/she was in before the contract was entered into.
